The following are the terms and conditions for the submission of information to, and use of, the Monster Commercial.com (“Monster Commercial “) web site service (the “service”). Please read them carefully. BY CLICKING THE “I ACCEPT” BUTTON AND COMPLETING THE REGISTRATION PROCESS, YOU ARE STATING THAT YOU AGREE TO AND ARE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THE CRL NETWORK TERMS OF SERVICE BELOW.
This agreement may be modified by Monster Commercial at any time without notice and it is the deemed responsibility of the users of Monster Commercial to check periodically for modifications.
1. User Eligibility
Monster Commercial offers its services only to individuals and companies who are able to enter into legally binding contracts. Monster Commercial does not offer services to users who have been temporarily or permanently suspended from using Monster Commercial for any reason. Further, Monster Commercial may refuse services to individuals or entities which, at the sole discretion of Monster Commercial, have been determined to pose harm or detriment to the Monster Commercial website.
2. Fees and Services
Monster Commercial offers many services at no charge. These services include but are not limited to browsing, searching, registering, and placing Monster Commercial Professional Services Listings. We reserve the right to modify our fee schedule at any time without advance notice. Monster Commercial does not engage or offer any recurring billing charges for any services on our web site. All advertising fees for Monster Commercial services are quoted in the respective currency based on the origin of the advertisers account registration. Users are responsible for paying all fees and any applicable taxes incurred when ordering Monster Commercial services.
3. Monster Commercial is a Media and Advertising Service
3.1 Monster Commercial Top Property Search. Although Monster Commercial provides a forum for buyers, sellers and lessors to find and exchange information about commercial real estate properties, Monster Commercial is not a licensed Broker or Agent. CRL Network acts as a media service which allows anyone to contact buyers, sellers, lessees, lessors or their agents and request information, at any time. Monster Commercial is not and will not become involved in the actual transaction between buyers and sellers, lessees or lessors. Subsequently, Monster Commercial can exercise no control over the information contained in property Monster Commercial Top Properties Listings and deems the information displayed to have been provided by reliable sources. Monster Commercial does not verify the accuracy and therefore makes no guarantee, warranty or representation as to the contents of the Monster Commercial Top Properties Listings information contained in the advertisements of properties. All information is subject to change including the price, data, sale or lease, withdrawal, property condition or any other information contained in Monster Commercial Top Properties Listings.
3.2 User Authentication. Due to the anonymous nature of the Internet, it is difficult and sometimes impossible to confirm each user’s purported identity. Monster Commercial encourages communication directly with other users through the tools available on our site.
3.3 Release. Monster Commercial provides only the service which allows users, buyers, sellers, lessors and lessees or their agents to connect. Monster Commercial is not involved in the actual transaction. In the event that a dispute erupts with one or more users, Monster Commercial (its officers, directors, agents, employees, and subsidiaries) is released from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any connection with such disputes.
3.4 Information Control. Monster Commercial does not control the information provided by any user and made available through the Monster Commercial system. Please be aware that other users’ information may be found to be inaccurate or deceptive.
4. Professional Services Directory Ads Information, Maintenance and Representations
4.1 Professional Services Directory Ads Information and Maintenance. Users shall not submit any property descriptions, photographs, financial, contact or other information to the Monster Commercial service unless (i) user has received all necessary rights and authorizations, including without limitation including but not limited to the owner of the property listed, any necessary representing agents or brokers, including the photographer and/or copyright owner of any photographs, as applicable, to publish and advertise the Professional Services Directory Ads as part of the service and allow the Professional Services Directory Ads to be accessed, downloaded and/or copied by users of the service; and (ii) the Professional Services Directory Ads is accurate and user agrees to administer the Professional Services Directory Ads and maintain its accuracy at all times. User represents, warrants and covenants that the Ad Listing is correct at the time of submission and will remain correct as long as the Professional Services Directory Ads is used in connection with the service. Ad Listings may include text descriptions, graphics, photographs, attached documents and other content relevant to the sale or lease of a property. All listed properties and services must be listed in an appropriate category. If an inappropriate category is selected, Monster Commercial will suspend Professional Services Directory Ads as it deems appropriate.
4.1.1 Hyperlinks. The use of hyperlinks in any Monster Commercial advertisement or Professional Services Directory Ads is exclusively reserved for the advertisers own website or that of the property being advertised. Any Professional Services Directory Ads that contains hyperlinks submitted that do not conform to this specification may be suspended from the Monster Commercial system without notice.
4.2 Fraud. In addition to other penalties, Monster Commercial may suspend or terminate a user account if fraud is suspected. Any reports of fraudulent behavior on Monster Commercial are taken very seriously and thoroughly investigated.
4.3 Cancellations and Refunds. Refunds for suspended advertisements or unused Monster Commercial Professional Services Directory Ads will not be provided. Credit in the form of the refunding of Monster Commercial will be awarded for any Professional Services Directory Ads cancelled in writing, if you submit your request to cancel the advertisement to within 24 hours of posting the Ad Listing. Monster Commercial will process all cancellation requests regardless of the time frame in which they were received; however, credit will only be refunded to those Professional Services Directory Ads whose request was received within 24 hours of the original posting.
5. Solicitation and Interference
The Monster Commercial system encourages the open exchange of information concerning commercial real estate properties and related services. Use of the Monster Commercial system to solicit against the interests of Monster Commercial and its users is prohibited. Monster Commercial users who solicit against the interests of Monster Commercial and its users will be suspended and liable for damages suffered by Monster Commercial.
6. Monster Commercial Professional Services Directory Ads
Monster Commercial is a forum dedicated to serving the needs of the commercial real estate community and users all around the globe. In an effort to help users locate specific property, project investment partners, development partners or source commercial lending services, Monster Commercial has established this free service for this purpose. This service is limited for use as follows:
6.1 Non-commercial Use. The Monster Commercial Professional Services Directory Ads are not to be used to promote traffic to another website or to promote a business endeavor. Professional Services Directory Ads are to be used by individuals or companies looking to find property or services for their own use. Professional Services Directory Ads are not for use by companies looking to obtain property listings for resale or lease. Any Want Ads which are overtly commercial or perceived to be commercial by Monster Commercial will be removed from the Monster Commercial system without notice. Vendors and Realty Advisors of commercial real estate related services are encouraged to use the Monster Commercial Resource Partner Directory and, Brokers or Agents are encouraged to use the services of our Monster Commercial Directory to advertise their commercial services.
6.2 Relevant Requests. The Monster Commercial Professional Services Directory Ads are limited in scope. Ad content must pertain to requests for specific property or must be within the service categories provided by the Monster Commercial Professional Services Directory Ads options. Any advertisement which does not meet this criterion will be removed from the Monster Commercial system without notice.
6.3 All Rights Reserved Monster Commercial reserves all rights to approve or decline a Professional Services Directory Ads for any reason it deems appropriate without explanation or notice.
7. Personal Information
7.1 Definition. “Personal Information” is defined as any information provided during the registration, or listing process, in any public message area, or through any email feature. Users are solely responsible for all personal information, and Monster Commercial acts as a passive conduit for online distribution and publication of the user’s personal information.
7.2 Restrictions. Personal Information (or any items listed): must be explicitly and implicitly accurate; must not be fraudulent; must not be illegal; must be appropriate and pertinent to the subject matter of the Monster Commercial.com website; and must not contain any hyperlinks to locations outside of the Monster Commercial.com site that Monster Commercial deems to be inappropriate or violates this agreement in any manner. Monster Commercial reserves the right to suspend any information from the site for any reason it deems necessary.
8. Access and Interference
It is agreed that there will be no use of any robot, spider, other communication device, or manual process to monitor or copy Monster Commercial web pages or the content contained herein without prior expressed written permission from Monster Commercial. It is agreed that use of any device, software, or routine to interfere or attempt to interfere with the proper working of the Monster Commercial site is prohibited. It is agreed that no action will be taken that imposes an unreasonable or disproportionately large load on Monster Commercial infrastructure. Much of the information on the Monster Commercial site is updated on a real-time basis. It is agreed that no user shall copy, reproduce, alter, modify, create derivative works, or publicly display any content from the Monster Commercial website without the prior expressed written permission of Monster Commercial or the appropriate third party.
In addition to other potential penalties, Monster Commercial may immediately issue a warning, temporarily suspend, indefinitely suspend, or terminate user and refuse to provide services if: (a) there is a breach of this Agreement or the documents to which it refers; (b) Monster Commercial is unable to verify or authenticate any information provided; (c) Monster Commercial believes that a user’s actions may cause legal liability.
11. Additional Legal Information
11.1 No Warranty. Monster Commercial and its suppliers provide its website and services “as is” and without any warranty or condition, expressed, implied or statutory. Monster Commercial and its suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.
11.2 Liability Limit. In no event shall Monster Commercial or our suppliers be liable for lost profits or any special, incidental, or consequential damages arising out of or in connection with the site, the services, or this agreement (however arising, including negligence).
11.3 Indemnity. It is agreed to indemnify and hold Monster Commercial and (as applicable) its parent Monster Commercial, subsidiaries, affiliates, officers, directors, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of any breach of this Agreement or the documents to which it refers, or violation of any law or rights of a third party.
11.4 Legal Compliance. All users shall comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding the use of this service.
11.5 No Agency. All users and Monster Commercial are independent contractors, and no agency, partnership, joint venture, employer- employee, or franchiser-franchisee relationship is intended or created by this Agreement.
11.6 Notices. Except as explicitly stated otherwise, any notices shall be given by certified postal mail to CRL Network, ATTN: Legal Department, 1235 Fairview Street, Suite 359, Ontario, Canada, L7S 2K9 (in the case of Monster Commercial) or to the email address the user provides to CRL Network Media during the registration process (in the user’s case). Notice shall be deemed given 24 hours after the email is sent, unless the sending party is notified that the email address is invalid. Alternatively, Monster Commercial may give notice by certified mail, postage prepaid and return receipt requested, to the address provided to Monster Commercial during the registration process. In such case, notice shall be deemed given three (3) days after the date of mailing.
11.7 General. If you registered for Monster Commercial services in Canada, this Agreement shall be governed in all respects by the laws of the Province of Ontario, Canada. If you registered for Monster Commercial services in the United States, this Agreement shall be governed in all respects by the laws of the State of Delaware. If you registered for Monster Commercial services outside the United States or Canada, this Agreement shall be governed by the laws of the Republic of Panama. Monster Commercial does not guarantee continuous, uninterrupted, or secure access to services, and operation of the site may be interfered with by many factors beyond Monster Commercial’s control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced. It is agreed that this Agreement and all incorporated agreements may be automatically assigned by Monster Commercial, in sole discretion, to a third party in the event of a merger or acquisition. Headings are for reference purpose only and in no way define, limit, construe, or describe the scope or extent of such section. Monster Commercial‘s failure to act with respect to a breach does not waive the right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between parties with respect to the subject matter hereof.
11.8 Disclosures. The services hereunder are offered by CRL Network Media Inc., 359-1235 Faiview Street, Burlington, ON, L7S 2K9
